WELCOME TO THAT'S DEAL.

We hope you find That's Deal useful.

By accessing, browsing, registering for, downloading, using, or otherwise interacting with our servers, services, websites, mobile applications ("App"), APIs, features, communications systems, or any associated content, listings, advertisements, postings, or services (collectively, "That's Deal" or the "Service"), you agree to these Terms of Use ("Terms").

By using That's Deal, you acknowledge and agree that That's Deal is a privately operated platform.

If you access or use That's Deal on behalf of a business, organization, company, or other legal entity, you represent and warrant that you have authority to accept these Terms on behalf of that entity and that the entity agrees to be bound by these Terms.

If you do not agree to these Terms, you are not authorized to access or use That's Deal or download or use our App.

We may modify these Terms from time to time. When we do, we may update the "Last Updated" date above and provide additional notice where required by applicable law.

Your continued use of That's Deal after changes become effective constitutes acceptance of the revised Terms.

Our Privacy Policy, Prohibited Content Policy, community rules, listing rules, payment policies, and other policies or agreements referenced by That's Deal are incorporated into these Terms.

1. LICENSE

Subject to your compliance with these Terms, and provided that:

  1. you are legally capable of entering into a binding agreement; or

  2. you are using That's Deal on behalf of a business or organization that you are authorized to represent,

That's Deal grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable, and non-assignable license to access and use That's Deal for its intended purposes.

Any use of That's Deal outside the scope of this license is unauthorized.

Except for content that you own or create, you may not reproduce, display, frame, distribute, sell, license, commercially exploit, or create derivative works from content available through That's Deal unless expressly permitted by us or applicable law.

Content You Submit

You retain ownership of content that you submit, upload, publish, send, or otherwise make available through That's Deal.

By submitting content to That's Deal, you grant That's Deal a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, process, modify, adapt, publish, display, distribute, and otherwise use that content as reasonably necessary to:

  • operate That's Deal;

  • display your listings;

  • provide our services;

  • distribute your content through our platform;

  • improve That's Deal;

  • promote listings or features where permitted;

  • protect users and the platform;

  • comply with legal obligations.

This license continues for as long as reasonably necessary for That's Deal to provide its services, maintain backups, meet legal obligations, resolve disputes, and enforce agreements.

2. USE OF THAT'S DEAL

Unless expressly authorized by That's Deal in a separate written or electronic agreement, you agree not to use or provide software, automation, services, or systems designed to interact with That's Deal in an unauthorized manner.

This includes automated systems used for:

  • downloading content;

  • uploading content;

  • automatically creating accounts;

  • automatically accessing accounts;

  • automated posting;

  • automated messaging;

  • automated flagging or reporting;

  • scraping;

  • crawling;

  • harvesting information;

  • searching at excessive or abusive rates;

  • circumventing technical restrictions;

  • interfering with platform functionality.

General-purpose web browsers, email clients, and official That's Deal applications are permitted.

Automated Access

You may not copy, collect, download, index, scrape, crawl, or extract That's Deal content through:

  • robots;

  • bots;

  • spiders;

  • scripts;

  • crawlers;

  • scrapers;

  • automated browser systems;

  • automated agents;

  • data harvesting systems;

  • equivalent manual processes intended to reproduce automated collection;

unless expressly authorized by That's Deal.

Prohibited Conduct

You may not:

  • create misleading, deceptive, fraudulent, or unlawful listings;

  • send unsolicited or unlawful communications;

  • create fraudulent or deceptive accounts;

  • buy or sell That's Deal accounts;

  • impersonate another person or organization;

  • misrepresent your identity or affiliation;

  • post prohibited content;

  • violate applicable laws;

  • abuse That's Deal reporting or flagging systems;

  • collect personal information about other users without authorization;

  • interfere with That's Deal systems;

  • attempt to gain unauthorized access to accounts, servers, databases, APIs, or infrastructure;

  • introduce malicious code;

  • distribute malware;

  • conduct phishing activities;

  • bypass access controls;

  • bypass account restrictions;

  • circumvent moderation systems;

  • circumvent security features;

  • interfere with the operation or availability of That's Deal.

That's Deal may moderate access to and use of the platform at its discretion and in accordance with applicable law.

Moderation actions may include:

  • blocking;

  • filtering;

  • re-categorizing;

  • re-ranking;

  • limiting visibility;

  • removing listings;

  • delaying publication;

  • holding content for review;

  • verifying users or listings;

  • limiting functionality;

  • suspending accounts;

  • terminating accounts;

  • restricting access.

You agree not to intentionally bypass or circumvent such measures.

That's Deal is not obligated to review, monitor, moderate, or remove every listing or communication.

Platform and API Restrictions

Unless expressly authorized by That's Deal, you may not:

  1. rent, lease, sell, publish, distribute, license, sublicense, assign, transfer, or commercially provide access to That's Deal or any That's Deal API;

  2. copy, adapt, translate, localize, decompile, disassemble, reverse engineer, modify, or create derivative works from That's Deal applications, APIs, website code, or proprietary software except where applicable law expressly permits such activity;

  3. combine or integrate That's Deal or its APIs with unauthorized software, services, technology, or materials;

  4. circumvent functionality that controls access to or protects That's Deal;

  5. remove, obscure, or alter copyright, trademark, proprietary rights, security, or attribution notices;

  6. use That's Deal or its APIs in a manner that infringes, misappropriates, or violates intellectual property rights, privacy rights, publicity rights, contractual rights, or other rights of another person;

  7. use That's Deal for any unlawful purpose.

3. USER CONTENT AND LISTINGS

Users are responsible for the information and content they publish through That's Deal.

That's Deal does not guarantee the accuracy, legality, authenticity, quality, ownership, condition, availability, or safety of goods, services, listings, users, or communications appearing on the platform.

You are responsible for evaluating listings and other users before entering into transactions.

You agree that content you submit will not:

  • violate applicable law;

  • infringe intellectual property rights;

  • violate privacy or publicity rights;

  • contain fraudulent or misleading information;

  • promote illegal goods or services;

  • contain malicious software;

  • contain prohibited content under That's Deal policies.

That's Deal may remove or restrict content that violates these Terms, our policies, or applicable law.

4. ACCOUNTS

Certain features may require a That's Deal account.

You agree to provide accurate information and keep account information reasonably current.

You are responsible for maintaining the confidentiality and security of your account credentials.

You may not:

  • share credentials in a way that compromises account security;

  • sell your account;

  • purchase another user's account;

  • create accounts for fraudulent or abusive purposes;

  • impersonate another person;

  • access another person's account without authorization.

You are responsible for activity conducted through your account unless prohibited by applicable law.

Notify That's Deal promptly if you believe your account has been compromised.

5. LIQUIDATED DAMAGES AND ENFORCEMENT

Certain unauthorized activities can cause That's Deal substantial harm, including security costs, investigation costs, infrastructure costs, operational disruption, abuse-prevention expenses, and harm to users.

Where permitted by applicable law and where expressly established by applicable That's Deal policies or agreements, That's Deal may pursue damages, injunctive relief, statutory remedies, actual damages, or other remedies available under law.

That's Deal reserves the right to pursue claims relating to activities including:

  • unauthorized harvesting of user information;

  • misuse of personal information;

  • impersonation;

  • fraudulent accounts;

  • unlawful listings;

  • spam;

  • unauthorized automated access;

  • scraping;

  • abuse of reporting systems;

  • circumvention of moderation;

  • interference with That's Deal systems;

  • unauthorized commercial exploitation of That's Deal content.

Nothing in these Terms limits remedies available to That's Deal under applicable law.

Repeated or serious violations may cause irreparable harm and may entitle That's Deal to seek injunctive or equitable relief.

6. FEES AND PAYMENTS

Certain That's Deal features, listings, services, subscriptions, promotions, or transactions may require payment.

Information about applicable fees may be displayed before you complete a purchase.

By purchasing a paid service, you authorize That's Deal and its payment processors to charge the selected payment method for:

  • applicable fees;

  • applicable taxes;

  • transaction charges;

  • other charges clearly disclosed before payment.

That's Deal may use third-party payment processors.

That's Deal does not necessarily directly store complete payment card information submitted through third-party payment processors.

Except where required otherwise by applicable law or expressly stated by That's Deal, fees may be non-refundable once a paid service has been delivered, activated, published, or substantially performed.

That's Deal may reject, suspend, cancel, limit, remove, re-categorize, or moderate a paid listing where permitted under these Terms and applicable law.

7. TRANSACTIONS BETWEEN USERS

That's Deal may facilitate communication between buyers, sellers, service providers, advertisers, or other users.

Unless expressly stated otherwise, That's Deal is not a party to transactions conducted directly between users.

Users are responsible for:

  • verifying the identity of counterparties;

  • reviewing products or services;

  • determining whether a transaction is appropriate;

  • complying with applicable laws;

  • determining applicable taxes;

  • arranging delivery or collection;

  • evaluating payment methods;

  • protecting themselves against fraud.

That's Deal does not guarantee that another user will:

  • complete a transaction;

  • make payment;

  • provide goods;

  • provide services;

  • honor representations;

  • comply with applicable law.

Exercise appropriate caution when dealing with other users.

8. DISCLAIMER AND LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THAT'S DEAL AND ITS OWNERS, OPERATORS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS, AFFILIATES, SERVICE PROVIDERS, AND SUCCESSORS:

  1. MAKE NO GUARANTEE OR WARRANTY REGARDING THE COMPLETENESS, ACCURACY, RELIABILITY, AVAILABILITY, TIMELINESS, SECURITY, LEGALITY, QUALITY, OR SUITABILITY OF THAT'S DEAL;

  2. PROVIDE THAT'S DEAL ON AN "AS IS" AND "AS AVAILABLE" BASIS;

  3. DISCLAIM WARRANTIES TO THE EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;

  4. ARE NOT RESPONSIBLE FOR THE ACTS, OMISSIONS, LISTINGS, PRODUCTS, SERVICES, COMMUNICATIONS, OR CONDUCT OF USERS OR THIRD PARTIES.

USE OF THAT'S DEAL IS AT YOUR OWN RISK.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THAT'S DEAL WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF:

  • profits;

  • revenue;

  • business opportunities;

  • goodwill;

  • reputation;

  • data;

  • anticipated savings;

arising from or relating to your use of That's Deal.

To the extent permitted by applicable law, That's Deal's aggregate liability relating to the Service will not exceed the greater of:

  • the amount you paid directly to That's Deal during the 12 months immediately preceding the event giving rise to the claim; or

  • USD $100.

Some jurisdictions do not permit certain exclusions or limitations of liability, so portions of this section may not apply to you.

9. THIRD-PARTY SERVICES

That's Deal may contain links to or integrations with third-party websites, applications, payment processors, maps, authentication systems, communications services, or other providers.

That's Deal does not control independent third-party services and is not responsible for their:

  • availability;

  • security;

  • content;

  • products;

  • services;

  • privacy practices;

  • terms;

  • conduct.

Your use of third-party services may be governed by separate terms and privacy policies.

10. CLAIMS AND INDEMNIFICATION

Except where prohibited by applicable law, you agree to indemnify, defend, and hold harmless That's Deal and its owners, operators, officers, directors, employees, affiliates, contractors, agents, licensors, and service providers from claims, damages, liabilities, judgments, losses, costs, and reasonable legal expenses arising from or relating to:

  • your use or misuse of That's Deal;

  • your content;

  • your listings;

  • your transactions;

  • your violation of these Terms;

  • your violation of applicable law;

  • your infringement of another person's rights;

  • activity conducted through your account.

That's Deal reserves the right to assume the exclusive defense and control of any matter subject to indemnification.

You agree to reasonably cooperate with such defense.

11. GOVERNING LAW AND DISPUTES

Any dispute, claim, cause of action, or controversy arising from or relating to That's Deal or these Terms will be governed by the laws applicable to the entity operating That's Deal and the jurisdiction identified by That's Deal, subject to any mandatory consumer-protection or jurisdictional rights that apply to you.

Nothing in these Terms prevents That's Deal from seeking temporary, preliminary, injunctive, or equitable relief in a court of competent jurisdiction when reasonably necessary to protect:

  • users;

  • intellectual property;

  • confidential information;

  • infrastructure;

  • accounts;

  • systems;

  • platform security.

Mandatory rights granted to consumers under applicable law are not waived by these Terms.

12. INTELLECTUAL PROPERTY

The That's Deal name, branding, logos, graphics, interface designs, software, website design, application design, databases, proprietary technology, and other materials owned by That's Deal are protected by applicable intellectual property laws.

Except where expressly authorized, these Terms do not grant you ownership of any That's Deal intellectual property.

You may not use That's Deal branding in a manner that:

  • falsely suggests sponsorship;

  • falsely suggests endorsement;

  • falsely suggests partnership;

  • creates confusion regarding ownership or affiliation;

  • infringes applicable trademark or intellectual property rights.

Any third-party trademarks appearing on That's Deal remain the property of their respective owners.

13. COPYRIGHT AND INTELLECTUAL PROPERTY COMPLAINTS

That's Deal respects intellectual property rights.

If you reasonably believe content available through That's Deal infringes intellectual property rights that you own or are authorized to enforce, you may submit a complaint through:

A valid complaint should provide sufficient information to identify:

  • the protected work;

  • the allegedly infringing material;

  • its location on That's Deal;

  • the complaining party;

  • appropriate contact information;

  • the basis for the complaint.

That's Deal may request additional information when reasonably necessary to investigate a complaint.

14. TERMINATION

You may stop using That's Deal at any time.

That's Deal may suspend, restrict, or terminate access to all or part of the Service where permitted by applicable law, including where we reasonably believe:

  • these Terms have been violated;

  • fraud or abuse has occurred;

  • platform security is threatened;

  • another user's rights are threatened;

  • unlawful activity has occurred;

  • continued access creates legal, operational, or security risk.

Sections that by their nature should survive termination will remain effective after termination, including provisions concerning:

  • intellectual property;

  • prohibited conduct;

  • outstanding payments;

  • liability;

  • indemnification;

  • disputes;

  • enforcement.

15. CHANGES TO THE SERVICE

That's Deal may modify, add, remove, suspend, restrict, or discontinue features or portions of the Service.

We may introduce:

  • new listing categories;

  • paid services;

  • subscriptions;

  • marketplace functionality;

  • messaging features;

  • verification systems;

  • mobile features;

  • promotional features;

  • APIs;

  • additional products or services.

Where required by applicable law, appropriate notice will be provided for changes that materially affect users' rights.

16. MISCELLANEOUS

These Terms, together with all policies expressly incorporated into them, constitute the agreement between you and That's Deal concerning your use of the Service unless you have entered into a separate agreement with That's Deal governing a particular service.

Failure by That's Deal to immediately enforce any provision does not constitute a waiver of that provision or any other right.

If any provision of these Terms is determined to be invalid or unenforceable, that provision will be limited or modified to the minimum extent necessary while the remaining provisions continue in effect.

You may not assign your rights or obligations under these Terms without prior authorization from That's Deal where such authorization is legally permitted to be required.

That's Deal may assign or transfer its rights and obligations in connection with a corporate restructuring, merger, acquisition, financing, sale of assets, or similar transaction.

Headings are provided for convenience and do not limit the interpretation of these Terms.

The English-language version of these Terms controls to the extent permitted by applicable law if there is a conflict between it and a translated version.
